End User License Agreements
IMPORTANT: PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE CONTINUING WITH THIS PROGRAM INSTALL OR USE.
Mitsubishi Logisnext Co., Ltd. (the "Developer", "Mitsubishi Logisnext" or "us") has developed and licenses to users its forklift authentication software product marketed under the name "Operator Auth" (the "Software"). This software license agreement (the "Agreement") governs Your (either an individual or an entity) use of Software. You are not allowed to install or use Software if You do not agree to these terms and conditions. Upon your agreement, Mitsubishi Logisnext grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the Software in accordance with the terms of this Agreement.
RESTRICTIONS. Software is copyrighted. Title to Software and all associated intellectual property rights is retained by Developer and/or its licensors or associates. Unless enforcement is prohibited by applicable law, You may not modify, decompile, disassemble or reverse engineer Software. You may not copy, duplicate, reproduce, license or sublicense Software, or transfer or convey Software or any right in Software to anyone else without the prior written consent of Developer, except to make backup copies of Software as may be necessary for archival purposes. You may not use the Software for any other vehicles or components than ones originating from us or our affiliates.
INFORMATION. Any and all information related to truck or component for which the Software is applied is and shall remain property of You or Your end customer, as the case may be. Software records data and information from the truck or component for which the software is applied. Recorded information relates to the truck in general, including for example authentication date and time, truck name, and truck serial number.
TERMINATION. Without prejudice to any other rights, Developer may terminate Agreement if You fail to comply with its terms and conditions. In such event, You must destroy all copies of Software in Your possession.
DISCLAIMER OF WARRANTY. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY WARRANTY OF ANY KIND. DEVELOPER FURTHER DISCLAIMS ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, ACCURACY OR COMPLETENESS OF ANY INFORMATION, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT.
LIMITATION OF LIABILITY. IN NO EVENT SHALL DEVELOPER BE LIABLE FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL OR PROPERTY DAMAGE, OR COMPENSATORY, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA OR DATA USE, INCURRED BY YOU OR ANY THIRD PARTY ARISING OUT OF OR IN CONNECTION WITH THE INSTALLATION, USE OR ANY OTHER DEALINGS WITH THE SOFTWARE, WHETHER IN AN ACTION IN CONTRACT OR TORT, EVEN IF DEVELOPER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In case the abovementioned limitation of liability is not permitted by the laws of your country or state in full, the limitation of liability is applicable to the maximum extent permitted by the applicable law.
REQUEST. Since the Software is the key to the truck, the mobile phone with Software installed (the "Device") must be kept securely to prevent loss or theft. The user authentication function of the Device should be enabled to prevent others from using the Device. To protect the Device and truck from security risks, you should keep the Device and Software up to date. Do not use any Device that is infected or suspected to be infected with malware.
